Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Contexo platform, dashboard, APIs, and embeddable widgets (collectively, the "Service") operated by Contexo Chat Inc ("Contexo", "we", "us"). By creating an account, embedding our widget, or using any part of the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Service
Contexo is a multi-tenant, retrieval-augmented chatbot platform. You upload documents or supply URLs, we ingest and index them, and you embed a widget on your website that lets your visitors ask questions answered against your indexed content.
3. Plans, fees, and limits
Current plans, prices, and quotas are listed on our pricing page and in the dashboard. As of the "Last updated" date the plans are:
- Free— $0 / month. 1 widget, 100 messages/month, 500 KB data per user. Free-plan widgets are deleted after 14 days of inactivity (see Section 8).
- Hobby— $15 / month. 1 widget, 500 messages/month, 10 MB data per user.
- Standard— $25 / month. 2 widgets, 1,000 messages/month, 10 MB data per user. Includes web scraping, manual refresh, and the option to remove Contexo branding.
- Premium— $40 / month. 5 widgets, 2,000 messages/month, 20 MB data per user. Adds API integration and analytics dashboard.
- Pro— $75 / month. 10 widgets, 4,000 messages/month, 20 MB data per user. Adds automatic content refresh.
We may change plans, prices, or features at any time with at least 30 days' notice for paid customers. Notice will be sent by email or shown in the dashboard. If you do not accept a price increase, you may cancel before it takes effect.
3.1 Extra-message add-on
Customers on a paid plan may purchase extra-message credits at $10 for 500 additional messages. Add-on credits do not expire, carry over between billing periods, and are consumed only after the monthly plan quota is exhausted. Add-on credits are non-refundable once delivered and remain on your account even if you downgrade or cancel. Free-plan accounts cannot purchase add-on credits.
3.2 Quota enforcement
Monthly message quota resets on the calendar month boundary (UTC). Once a widget's owner exhausts both the monthly quota and any add-on credits, the widget will return a quota-exceeded error to visitors until the next reset or until additional credits are purchased.
4. Billing
Paid plans are billed monthly in advance through our payments partner Lemon Squeezy. By subscribing, you authorize Lemon Squeezy and us to charge your payment method for each renewal until you cancel. Invoices and receipts are issued by Lemon Squeezy and are available in your dashboard's payment history.
Taxes are calculated and collected by Lemon Squeezy as your merchant of record where applicable. The amount displayed at checkout is the amount that will be charged.
4.1 Upgrades (immediate, prorated)
When you upgrade, the new plan takes effect immediately. You will be charged a prorated amount for the remainder of the current billing period and credited the unused portion of your previous plan for that period. Your renewal date does not change.
4.2 Downgrades (deferred to next renewal)
When you downgrade, your existing plan remains active until the end of your current billing period. The downgrade is then applied automatically at renewal. You can cancel a scheduled downgrade at any time before it applies. No refund or credit is issued for downgrades; you keep what you have already paid for.
4.3 Cancellation
You may cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of your current billing period; you retain access to your paid plan until that date and are then moved to the Free plan. We do not pro-rate refunds for partial months. See Refund Policy.
4.4 Failed payments
If a renewal payment fails, your subscription is marked "past due". You will be given a grace period to update your payment method. If payment is not received within that period, your subscription is moved to the Free plan and Free-plan limits and inactivity rules will apply.
5. Your content
You retain ownership of all documents, URLs, prompts, and conversation logs you upload or generate ("Customer Content"). You grant Contexo a limited, worldwide, non-exclusive licence to host, process, and display Customer Content solely as needed to operate the Service for you.
You represent and warrant that you:
- Own or have the rights to upload Customer Content (including third-party material that you scrape or ingest).
- Have all consents required to process personal data of your visitors through the widget, including any cookie or data-processing consent required by GDPR, CCPA, the DPDP Act, or similar laws.
- Will not upload material that is illegal, defamatory, infringes third-party rights, or violates our Acceptable Use Policy.
6. AI output disclaimer
The Service uses third-party large language models (currently Google's Gemini family) to generate responses. AI models can produce inaccurate, incomplete, biased, or fabricated answers ("hallucinations"). You should not rely on the Service's output as legal, medical, financial, or other professional advice. You are responsible for reviewing AI output before acting on it or showing it to your end-users in any regulated context.
We do not guarantee that the Service's output will be accurate, current, or fit for any particular purpose. You agree to disclose to your end-users that they are interacting with an AI system.
7. Acceptable use
Your use of the Service is governed by our Acceptable Use Policy. We may suspend or terminate accounts that violate it.
8. Free-tier inactivity deletion
Widgets on the Free plan are automatically deleted after 14 consecutive days of inactivity. Deletion cascades to documents, embeddings, chat sessions, and messages associated with that widget. This action is irreversible. To prevent deletion, ensure the widget remains in use or upgrade to a paid plan.
9. Suspension and termination
We may suspend or terminate your account immediately, without notice, if you (a) materially breach these Terms or our Acceptable Use Policy, (b) fail to pay any amount when due, (c) engage in conduct that could harm other users, our partners, or the Service, or (d) are required to do so by law. You may terminate your account at any time by deleting it from the dashboard or by contacting support@contexo.ai. On termination, the licence in Section 5 ends and your data is handled per Section 6 of the Privacy Policy.
10. Service availability
We aim for high availability but do not guarantee any specific uptime unless agreed in a separate written agreement. The Service is provided "as is" and "as available". We may perform scheduled or emergency maintenance that temporarily interrupts the Service.
11. Disclaimers
To the fullest extent permitted by law, Contexo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, secure, or error-free. The Service's output is generated by probabilistic AI models and may be wrong; you use it at your own risk.
12. Limitation of liability
To the maximum extent permitted by law, Contexo and its affiliates, officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising from or related to your use of the Service. Our total aggregate liability for any claim under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or USD 100, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify and hold harmless Contexo from any claim, loss, or expense (including reasonable legal fees) arising from (a) your Customer Content, (b) your violation of these Terms or applicable law, or (c) your infringement of any third party's rights.
14. Changes to the Service or Terms
We may modify the Service and these Terms from time to time. Material changes will be notified by email or in-product notice at least 30 days before they take effect (immediately for changes required by law or to address security risks). Continued use after the effective date constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of Bengaluru, India, excluding its conflict-of-laws rules. Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts located in Bengaluru, India. If you are a consumer in a jurisdiction whose mandatory law gives you rights that cannot be excluded, those rights apply notwithstanding this clause.
16. Miscellaneous
These Terms, together with our Privacy Policy, Cookie Policy, Refund Policy, and Acceptable Use Policy, constitute the entire agreement between you and Contexo regarding the Service. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
